Effective Date: September 1, 2026

These Affiliate Program Terms (“Terms”) govern participation in the OOAK Market Affiliate Program operated by OOAK Market (“we,” “us,” or “the Platform”). By joining the Program or using an affiliate link, you agree to these Terms.

Special Launch Promotion Notice (Through December 31, 2026, Arizona time)

Commission-Free Artist Period. Artists who register on the Platform before December 31, 2026, pay 0% Platform commission on successful sales completed before December 31, 2026. Payment-processing fees still apply. Guaranteed Affiliate Payouts During the Launch Period. Even though the Platform collects 0% Platform commission during this introductory phase, all successfully tracked, qualifying referrals still receive their full 4% commission on qualifying transactions completed before December 31, 2026. That 4% is funded by the Platform as a launch incentive. After December 31, 2026, artist Platform commissions and any other marketplace fees are governed by the Platform’s then-current seller and buyer terms. Affiliate commissions remain 4% on qualifying transactions, subject to these Terms.

Join the OOAKMarket Affiliate Program

Founders' Club.

Artisans who, by December 31, 2026:

• (a) have an approved artisan account, and
• (b) maintain at least five (5) live listings of true one-of-a-kind or limited-edition handmade work that comply with these Terms, are Founders' Club members. Founders' Club members receive a locked commission of 10% all-in on successful sales from January 1, 2027 through December 31, 2027. That 10% includes Stripe processing. No listing fee. No advertising fee. If a Founders' Club member falls below five live qualifying listings, or if listings are removed for policy reasons, OOAK Market may end the locked 10% rate and apply the standard rate in after notice.

1. Eligibility Anyone 18 years or older may apply. We may approve or reject any application at our sole discretion.

2. How Referrals Work First-registration attribution.

Account attribution is first-to-register only. An Artist account or a Collector account can be linked to only one affiliate profile. If a user clicks links from more than one affiliate, 100% of tracking and commission credit belongs to the affiliate whose link was used to complete that user’s initial account registration. The Platform does not use multi-touch attribution and does not split commissions between affiliates for a single account.

You will receive a unique referral link tracked through Toppal (or our then-current tracking partner).

A referral is credited only when the conditions below are met.

Referring an Artist All of the following must occur:

• The artist creates an account using your referral link; and
• The artist lists at least one product; and
• You earn commission only when that referred artist completes a Qualifying Transaction (defined below).

Signing an artist up, with no listing and no Qualifying Transaction, generates $0.

Referring a Collector

Credit locks when the collector account is created through your link. After that, you may earn commission on that collector’s Qualifying Transactions even if they do not click your link again, subject to the 4% per-sale cap in Section 3. A later click does not steal or split the account.

Examples

• Artist. Invite a maker you respect. When that artist completes a Qualifying Transaction, you may earn 4% of that sale if you are the affiliate entitled to that order under Section 3, and only while that artist stays transaction-active under this Section 2 and your affiliate account stays active under Section 3.
• Collector. Invite a new collector with your link. You may earn 4% of a Qualifying Transaction they make if you are the affiliate entitled to that order under Section 3. The link only has to be used once, at account creation.
• Credit. The first link that creates the account wins. One account, one affiliate, no splitting. Each sale still pays a maximum of 4% total.

Qualifying Transaction A “Qualifying Transaction” means a completed, non-refunded marketplace order that is successfully tracked to a referral and is not later reversed for refund, chargeback, fraud, self-referral, or cancellation.

Unless these Terms say otherwise, “sale,” “purchase,” and “verified marketplace sale” all mean a Qualifying Transaction.

Referral Duration and Inactivity

Commission on a referred account continues only while all of the following remain true:

• That Artist or Collector completes at least one Qualifying Transaction in each rolling 12-month period;
• Your affiliate account itself generates at least one Qualifying Transaction in each rolling 12-month period (see Section 3); and
• Your affiliate account has not been deactivated or terminated.

A “rolling 12-month period” means the 12 consecutive months immediately before the date we check activity.

Per-User Inactivity.

If a referred Artist or Collector completes zero Qualifying Transactions for 12 consecutive months, attribution between that user and your affiliate profile expires automatically.

• For Artists: inactivity means zero Qualifying Transactions (sales) in that 12-month window.
• For Collectors: inactivity means zero Qualifying Transactions (purchases) in that 12-month window.

Effect of Per-User Expiration.

Once attribution for a specific user expires, the connection is permanently severed. You forfeit all future commissions on that user’s later activity. Because accounts are first-to-register only, a severed account is not reassigned to another affiliate. Later transactions by that user do not generate affiliate commission.

3. Commission Structure Hard cap: 4% per sale.

Each Qualifying Transaction pays a maximum total affiliate commission of 4% of the gross sale value. The Platform never pays 8%, never splits 4% between two affiliates on the same order, and never stacks an artist-side commission with a collector-side commission.

Who gets the 4% on an order.

Only one affiliate is paid on any single Qualifying Transaction, determined in this order:

• If the Artist on that order is attributed to an eligible, active affiliate, that affiliate receives the 4%.
• If the Artist is not attributed to an eligible, active affiliate, but the Collector on that order is attributed to an eligible, active affiliate, that collector’s affiliate receives the 4%.
• If neither side is attributed to an eligible, active affiliate, no affiliate commission is paid on that order.

In short: the first valid attached affiliate account in that order of priority gets the 4%. Everyone else on that sale gets $0.

Same-Affiliate and Self-Dealing.

If the same affiliate is linked to both the artist and the collector on one order, the payout is still 4%, not 8%.

Affiliate Account Activity Requirement.

To keep your affiliate account active and remain eligible for payouts, your referral links must generate at least one Qualifying Transaction on which you are the paid affiliate:

• within 12 months after your affiliate account activation date;
• and in each rolling 12-month period after that.

Any Qualifying Transaction on which you are paid restarts the rolling 12-month lookback.

Account deactivation.

If your affiliate account generates zero paid Qualifying Transactions in any rolling 12-month window, we will deactivate the account. Upon deactivation:

• you forfeit all future commissions on every previously referred Artist and Collector account; and
• deactivation is a termination under Section 7.

Already earned and approved commissions remain payable under Section 4, unless withheld or reversed for fraud, self-referral, refund, chargeback, or other breach.

4. Payouts

Commissions are calculated only on Qualifying Transactions for which you are the single paid affiliate under Section 3.

A 14–30 day hold applies after each sale to account for refunds and chargebacks.

Payout Methods

• Standard electronic transfer (PayPal or Stripe); or
• OOAK Market Virtual Visa® Reward Card.

Payout fees

• PayPal/Stripe: processor, distribution, and handling fees are deducted from the payout.
• Virtual Visa® Reward Card: no processing fee to the affiliate. 100% of the approved commission is loaded onto a virtual card delivered by email.

Minimum payout. $25 in approved, payable balance (after any PayPal/Stripe fees, if you choose that method), or the amount shown in your dashboard if different. We may withhold or reverse commissions for fraudulent, self-referred, cancelled, refunded, or charged-back orders.

5. Restrictions Self-Attribution and Double-Dipping.

You may not earn two commissions on one transaction, and no order pays more than 4% in total affiliate commission.

Specifically:

• If a referred Artist sells to a buyer who used that same Artist’s personal affiliate link, the order triggers one 4% payout, not 8%.
• You may not refer yourself, your own business entities, or use your own referral links to buy from your own shop.
• If an artist account and a collector account on the same order are both linked to the same affiliate profile, or to two different affiliate profiles, the Platform still pays a maximum of 4% on the gross sale value, to one affiliate only, as described in Section 3.

You may not:

• Refer yourself or create fake accounts
• Use spam, paid ads that bid on “OOAK Market” brand terms, or misleading claims
• Offer cash-back, coupons, or incentives that violate the Platform’s main Terms of Service
• Engage in any activity that harms the Platform or its users

Violation may result in immediate termination and forfeiture of unpaid commissions.

6. Relationship of Parties

You are an independent contractor. These Terms do not create employment, partnership, or a joint venture. You are solely responsible for taxes on commissions you earn.

7. Changes and Termination

We may modify these Terms or the Program at any time. Continued participation after notice is acceptance.

Either party may terminate participation at any time. Automatic deactivation under Section 3 is a termination.

Upon termination, only commissions already earned and approved will be paid, except amounts we may withhold or reverse under Sections 4 or 5.

8. Limitation of Liability

Our total liability under these Terms is limited to commissions actually owed to you. We are not liable for indirect, incidental, or consequential damages.

9. Governing Law

These Terms are governed by the laws of the State of Arizona, USA. Disputes will be resolved in the courts of Yavapai County, Arizona.

By participating in the OOAK Market Affiliate Program, you confirm that you have read, understood, and agree to these Terms.
